Invest in Farmers (IIF)

Website Terms of Use

1. About these Terms

These Terms of Use (the “Terms”) govern your use of ca.iif.today and any related pages we operate (the “Website”). The Website is operated by Invest In Farmers Ltd., an Alberta corporation trading as IIF Canada, together with its Canadian affiliates IIF Farm Management Ltd. and IIF AG Ltd. (“IIF”, “we”, “us” or “our”).

By using the Website you agree to these Terms. If you do not agree, do not use the Website.

If you open an investor or producer account, or download our mobile app, separate terms apply to that service (the “Service Terms”). If these Terms conflict with the Service Terms, the Service Terms govern for that service.

2. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on the Website with a new effective date. If a change materially affects your rights, we will give you reasonable notice before it takes effect, by a notice on the Website or by email if we have your address. Continued use of the Website after the effective date means you accept the updated Terms.

3. Important securities notice

The Website provides general information about IIF and its share-farming programs. Nothing on the Website is an offer to sell, or a solicitation of an offer to buy, any security in any jurisdiction.

Any offer of interests in an IIF program is made only through the applicable offering documents, to investors who qualify under an available prospectus exemption, in the provinces and territories where that offer may lawfully be made. No securities regulatory authority has reviewed the Website or the merits of any IIF program.

IIF AG Ltd. has applied to the Alberta Securities Commission for registration as a dealer. It is not currently registered in any Canadian jurisdiction. Until registration is granted, interests in IIF programs are available only to accredited investors and other investors who qualify for an available exemption under National Instrument 45-106 Prospectus Exemptions, in reliance on the prospectus and registration exemptions available under Canadian securities law. We will update this notice when registration is granted.

Investments in IIF programs are speculative. They depend on agricultural outcomes affected by weather, disease, commodity prices and other risks outside anyone’s control. You could lose some or all of the money you invest. Program interests are not deposits, are not insured by the Canada Deposit Insurance Corporation or any other government deposit insurer, are not guaranteed, and are generally not transferable or redeemable before the program ends.

4. No personal advice

Content on the Website is general information only. It is not investment, financial, tax, accounting or legal advice, and it does not take into account your objectives, financial situation or needs.

Where IIF AG Ltd. provides dealing services, it assesses suitability only through its account-opening and know-your-client process, and only for clients who complete that process. You should obtain independent professional advice before making any investment decision.

5. Past performance and forward-looking information

The Website may describe results of farm programs operated by IIF’s affiliates in Australia and New Zealand. Those programs were offered by different entities, under different laws, in different markets and seasons. They are not programs of IIF Canada, and their results are not a guarantee or reliable indicator of the results of any Canadian program. Results vary widely by sector and season, and some programs and sectors have lost money.

Some statements on the Website are forward-looking information, such as statements about planned programs, target returns, deployment timing, market opportunities and regulatory approvals. Words such as “target”, “expect”, “plan”, “intend” and “will” often identify them. Forward-looking information reflects our current assumptions and is subject to risks and uncertainties that could cause actual results to differ materially. Target returns are targets, not promises. We do not undertake to update forward-looking information except as required by law.

6. Who may use the Website

The Website is intended for residents of Canada who are at least the age of majority in their province or territory of residence. It is not directed at persons in any jurisdiction where its content or use would be unlawful, including the United States. The Website and our services are not currently offered to residents of Quebec. You are responsible for complying with the laws that apply to you.

7. Our content and trademarks

The Website and its content, including text, graphics, photographs, video, data, software and design, are owned by IIF or its licensors and are protected by Canadian and international copyright and other intellectual property laws.

INVEST IN FARMERS, IIF CANADA, FARM IN YOUR POCKET and the IIF logo are trademarks of IIF or its affiliates. Applications to register them are pending with the Canadian Intellectual Property Office. Other names and logos on the Website belong to their respective owners, and their appearance does not imply endorsement.

We grant you a limited, revocable, non-exclusive, non-transferable licence to view and print Website content for your personal, non-commercial use. You must keep all copyright and other notices intact. Any other use requires our prior written consent.

8. Acceptable use

You agree not to:

  • use the Website in any way that breaks any law, including securities, privacy, anti-spam or consumer protection law;
  • provide false or misleading information, or impersonate any person;
  • attempt to gain unauthorized access to the Website, our systems or another person’s account;
  • introduce malware or interfere with the Website’s operation or security;
  • scrape, harvest or collect data from the Website by automated means without our written consent, including to train artificial intelligence models;
  • frame or mirror the Website, or use our trademarks in a way that suggests a relationship we have not agreed to; or
  • use the Website to send unsolicited commercial messages.

We may suspend or block access to the Website for anyone who breaches these Terms.

9. Information you submit

If you submit information through the Website, such as a contact form, investor interest form or producer enquiry, you confirm that it is accurate and that you are entitled to provide it. We handle personal information in accordance with our Privacy Policy.

If you send us ideas, feedback or suggestions, we may use them without obligation to you. Do not send confidential information through general contact forms.

10. Links to other websites

The Website may link to websites operated by others, including regulators, partners and producers. We do not control those websites and are not responsible for their content, security or privacy practices. A link does not mean we endorse the linked site.

11. Electronic communications and anti-spam

We send commercial electronic messages only in accordance with Canada’s Anti-Spam Legislation (CASL). Every commercial message we send identifies IIF, gives our contact information and includes a working unsubscribe mechanism. We give effect to unsubscribe requests without delay and in any event within 10 business days. Unsubscribing from marketing does not stop messages we must send you about an account, a transaction or a legal or regulatory matter.

You agree that notices and other communications about the Website may be given to you electronically, and that electronic communications satisfy any requirement that they be in writing, as permitted by the Electronic Transactions Act (Alberta) and equivalent laws.

12. Disclaimer

We work to keep the Website accurate and available, but information may be incomplete, out of date or contain errors, and the Website may be interrupted. To the extent permitted by law, the Website is provided “as is” and “as available”, and we disclaim all warranties and conditions, express or implied, including of merchantability, fitness for a particular purpose, accuracy and non-infringement.

Nothing in these Terms excludes or limits any right or remedy you have under consumer protection or other laws that cannot be excluded or limited by contract.

13. Limitation of liability

To the extent permitted by law, IIF and its directors, officers, employees and agents are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or opportunity, arising from your use of or inability to use the Website, even if advised of the possibility. Our total liability for any claim arising from the Website is limited to CAD $100.

This section does not apply to liability that cannot be limited by law, including liability for fraud, gross negligence or intentional misconduct, or, in Quebec, liability for bodily or moral injury or material injury caused by intentional or gross fault. It does not limit any obligation IIF owes you under Service Terms, offering documents or securities law.

14. Indemnity

Except where prohibited by law, including consumer protection law in Quebec, you agree to indemnify IIF against claims, losses and reasonable legal costs arising from your breach of these Terms or your misuse of the Website.

15. Governing law and disputes

These Terms are governed by the laws of Alberta and the federal laws of Canada that apply there. You and IIF submit to the non-exclusive jurisdiction of the courts of Alberta sitting in Calgary.

If you are a consumer resident in Quebec or another province whose law gives you the right to bring proceedings in your home province or to rely on its mandatory protections, nothing in these Terms removes that right. Nothing in these Terms prevents you from making a complaint to a securities regulator, a privacy commissioner, or, once available to IIF AG Ltd. clients, the Ombudsman for Banking Services and Investments (OBSI).

16. Language

These Terms are currently available in English only. French versions will be provided before IIF offers its services to residents of Quebec.

17. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. We may assign these Terms to an affiliate or a successor to our business. These Terms, together with the Privacy Policy and any applicable Service Terms, are the entire agreement between you and IIF about the Website. Sections 3, 5, 7 and 12 to 15 survive any termination of your use.
